Agreement to Terms

Welcome to Spoken. These Terms of Service constitute a legally binding agreement between you and Spoken regarding your access to and use of our AI-powered voice notes application, including our mobile application available on the Google Play Store and any related services, features, or content we provide.

By downloading the Spoken application, creating an account, or otherwise accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are using Spoken on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms, and references to “you” shall include that organization.

If you do not agree with any provision of these terms, you must not download, install, or use Spoken. We encourage you to read these terms in their entirety before using our service, as they contain important information about your rights and obligations, as well as limitations and exclusions that may apply to you.

These terms apply to all users of the Spoken application, regardless of whether you are using our free tier or subscribing to Spoken Pro. Certain features and functionalities may be subject to additional terms, which will be presented to you before you access those features.

Description of Services

Spoken is a comprehensive AI-powered voice notes application designed to help you capture, organize, and transform your spoken thoughts into actionable content. Our platform combines cutting-edge artificial intelligence with intuitive design to provide you with a seamless experience for managing your voice-based productivity.

Voice Recording and Transcription: At its core, Spoken allows you to record voice notes and automatically converts your spoken words into accurate text transcriptions. Our AI transcription service supports over 30 languages, making Spoken accessible to users around the world. Your voice recordings are stored locally on your device, ensuring your privacy and giving you complete control over your audio content.

AI-Powered Intelligence: Beyond basic transcription, Spoken leverages advanced artificial intelligence to enhance your productivity. Our AI automatically generates smart summaries of your notes, extracts action items and tasks from your recordings, identifies key dates and people mentioned in your content, and assigns priority levels to help you stay organized. These intelligent features work in the background to transform your raw thoughts into structured, actionable information.

Translation and Rewriting: Spoken enables you to translate your notes into more than 30 languages, breaking down communication barriers and making your content globally accessible. Additionally, our rewrite feature allows you to transform your notes into different formats, including professional emails, concise bullet points, engaging social media posts, formal documents, and more.

Task Management: We provide comprehensive task management capabilities that integrate seamlessly with your voice notes. You can create tasks directly from extracted action items, set due dates and reminders, organize tasks with subtasks, and track your progress across all your projects. This integration ensures that your spoken ideas translate directly into completed work.

Cloud Synchronization: Your transcriptions, notes, and tasks are synchronized across all your devices through our secure cloud infrastructure. This means you can start a thought on one device and continue working on another, with all your content always up to date and accessible. Spoken also works offline, automatically syncing your changes when you reconnect to the internet.

We continuously work to improve and expand our services. We may add new features, modify existing functionality, or discontinue certain aspects of the service at our discretion. We will endeavor to notify you of significant changes that affect your use of Spoken.

User Accounts

To access certain features of Spoken, you must create a user account. When you create an account, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the accuracy of this information and for updating it promptly if it changes.

Account Security: You are responsible for safeguarding the credentials associated with your Spoken account and for all activities that occur under your account. We use Google Firebase Authentication to provide secure sign-in options, including authentication through your Google account. You must maintain the confidentiality of your account credentials and should not share them with any third party.

Unauthorized Access: If you become aware of any unauthorized access to your account or any security breach, you must notify us immediately through our contact page. We are not liable for any losses arising from unauthorized use of your account, but you may be liable for the losses of Spoken or others due to such unauthorized use.

One Account Per Person: Each user is permitted to maintain only one Spoken account. Creating multiple accounts to circumvent usage limits, abuse promotional offers, or engage in any form of service manipulation is strictly prohibited and may result in immediate termination of all associated accounts.

Age Requirements: Spoken is intended for users who are at least 13 years of age. By creating an account, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the service and that they have read and agree to these terms on your behalf.

Account Termination: We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms of Service. You may also delete your account at any time through the app settings. Upon account deletion, your personal data will be removed from our systems in accordance with our Privacy Policy.

Your Content

Spoken enables you to create, upload, store, and manage content including voice recordings, transcriptions, notes, tasks, and other materials. We believe that your content belongs to you, and these terms are designed to protect your ownership while enabling us to provide our services.

Ownership: You retain full ownership of all content you create, upload, or store through Spoken. We do not claim any ownership rights over your voice recordings, transcriptions, notes, tasks, or any other content you produce using our service. Your intellectual property remains yours.

License to Provide Services: By using Spoken, you grant us a limited, non-exclusive, royalty-free license to access, store, and process your content solely for the purpose of providing, maintaining, and improving our services to you. This includes processing your content through our AI services for transcription, summarization, translation, and other features you request. This license exists only to enable us to operate the service and terminates when you delete your content or account.

Your Responsibilities: You are solely responsible for the content you create and store through Spoken. You represent and warrant that you have all necessary rights to your content, that your content does not infringe on any third party's intellectual property or other rights, that your content does not violate any applicable laws or regulations, and that your content does not contain malicious code, viruses, or harmful components.

Content Removal: While we respect your ownership of content, we reserve the right to remove or disable access to any content that violates these terms, that we are required to remove by law, or that poses a security risk to our platform or other users. If we remove your content, we will attempt to notify you and explain the reason, unless we are legally prohibited from doing so.

Backup Responsibility: While we take extensive measures to protect your data, we recommend that you maintain your own backups of important content. Spoken provides export functionality to help you download your notes and tasks. We are not responsible for data loss that occurs despite our reasonable efforts to protect your content.

Acceptable Use Policy

Spoken is designed to help you be more productive and organized. To maintain a safe and trustworthy platform for all users, you agree to use Spoken responsibly and in accordance with the following guidelines. Violation of these guidelines may result in immediate suspension or termination of your account.

Prohibited Activities: You agree not to use Spoken for any unlawful purpose or in violation of any applicable local, state, national, or international laws or regulations. You may not use the service to create, store, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. Content that promotes discrimination, hatred, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other characteristics is strictly prohibited.

Intellectual Property Violations: You may not use Spoken to infringe upon or misappropriate the intellectual property rights of others. This includes recording, transcribing, or storing copyrighted material without proper authorization, as well as using the service to facilitate piracy or other forms of intellectual property theft.

Security and Integrity: You may not attempt to gain unauthorized access to Spoken's systems, other users' accounts, or any computer networks connected to our service. This includes probing, scanning, or testing the vulnerability of our systems, circumventing any security measures, or interfering with the proper functioning of the service. You may not introduce any malware, viruses, worms, or other harmful code into our platform.

Automated Access: You may not use any automated means, including robots, crawlers, scrapers, or bots, to access Spoken or extract data from the service without our prior written permission. This includes using automated tools to create accounts, send messages, or perform any actions that simulate human activity.

Impersonation: You may not impersonate any person or entity, including Spoken employees or representatives, or falsely state or misrepresent your affiliation with any person or entity. Creating accounts using fake identities or using the service to deceive others is prohibited.

Commercial Use: The standard Spoken service is intended for personal productivity use. Using Spoken to provide commercial transcription or AI services to third parties, or reselling access to Spoken features, requires our prior written authorization.

Intellectual Property Rights

The Spoken application, including its design, features, functionality, and underlying technology, represents significant investment and creative effort. These terms are designed to protect our intellectual property while ensuring you can fully enjoy using our service.

Our Property: The Spoken name, logo, visual design, user interface, and all content created by us are protected by copyright, trademark, and other intellectual property laws. The software, algorithms, code, and systems that power Spoken are our proprietary technology. You may not copy, modify, distribute, sell, or lease any part of our service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

Limited License: Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Spoken application on your personal device solely for your personal, non-commercial use. This license does not include the right to modify the application, use it for commercial purposes without authorization, or transfer your rights to any third party.

Feedback: We welcome and appreciate feedback, suggestions, and ideas about how to improve Spoken. If you choose to provide us with feedback, you grant us a perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate your feedback into our products and services without any obligation to compensate you. This helps us continuously improve Spoken for all users.

Third-Party Content: Our service may include or integrate with content, services, or links from third parties. These third-party materials are not under our control, and we are not responsible for their content, accuracy, or practices. Any dealings you have with third parties found through our service are between you and the third party.

Subscriptions and Payments

Spoken offers both free and premium subscription options. Our free tier provides access to core features with certain usage limitations, while Spoken Pro unlocks unlimited access to all features. This section outlines the terms that govern paid subscriptions.

Subscription Options: Spoken Pro is available through monthly and annual subscription plans. Annual subscriptions provide a significant discount compared to monthly billing. Specific pricing is displayed in the app and on our website, and may vary by region based on local currency and market conditions.

Billing and Renewal: Subscriptions are billed in advance on a recurring basis according to your chosen billing cycle. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Payment is processed through the Google Play Store, and your payment method on file will be charged automatically for each renewal period.

Free Trials: We may offer free trial periods for new subscribers to experience Spoken Pro before committing to a paid subscription. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid subscription, and you will be charged the applicable subscription fee. Trial eligibility, duration, and terms may vary and will be clearly stated at the time of sign-up.

Cancellation: You may cancel your subscription at any time through your Google Play Store account settings. Upon cancellation, you will continue to have access to Spoken Pro features until the end of your current billing period. After that period ends, your account will revert to the free tier, and you will lose access to premium features.

Refunds: Subscription payments are generally non-refundable. We do not provide refunds or credits for partial billing periods or unused features. However, refund requests for exceptional circumstances may be submitted through the Google Play Store or by contacting our support team. Refund decisions are made in accordance with Google Play's refund policies and at our discretion.

Price Changes: We reserve the right to modify our subscription prices at any time. If we change our prices, we will provide you with at least 30 days advance notice before the new prices take effect. If you do not agree to the new pricing, you may cancel your subscription before the changes become effective.

Disclaimers

We strive to provide a reliable and accurate service, but there are inherent limitations to any technology-based platform. The following disclaimers help set appropriate expectations about what Spoken can and cannot guarantee.

Service Provided As-Is: Spoken is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI Accuracy: Our AI-powered features, including transcription, summarization, translation, and action item extraction, are designed to be helpful tools but are not perfect. Transcriptions may contain errors, especially with accented speech, technical terminology, or background noise. AI-generated summaries and action items represent the AI's interpretation of your content and may not capture every nuance or detail. We recommend reviewing AI-generated content for accuracy, particularly for important or sensitive matters.

Service Availability: We do not guarantee that Spoken will be available at all times or that it will be uninterrupted, timely, secure, or error-free. We may need to perform scheduled maintenance, deploy updates, or address unexpected issues that could temporarily affect service availability. While we work to minimize disruptions, we cannot promise 100% uptime.

Third-Party Services: Spoken relies on third-party services for certain functionality, including cloud infrastructure, AI processing, and payment processing. We are not responsible for the performance, availability, or conduct of these third-party services, which are governed by their own terms and policies.

No Professional Advice: Spoken is a productivity tool and is not a substitute for professional advice in any field. Content generated by our AI features should not be considered legal, medical, financial, or other professional advice. Always consult with qualified professionals for important decisions.

Limitation of Liability

This section outlines the limits of our legal liability to you. While we work hard to provide a great service, we need to establish reasonable boundaries to operate sustainably.

Indirect Damages: To the maximum extent permitted by applicable law, Spoken, its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the service, any unauthorized access to or alteration of your content or data, any content or conduct of third parties on the service, or any other matter relating to the service.

Liability Cap: Our total liability to you for all claims arising from or relating to these terms or your use of Spoken shall not exceed the greater of the amount you paid us for the service during the twelve months preceding the claim or one hundred US dollars. This limitation applies regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for certain types of damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights. Nothing in these terms shall limit our liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded by law.

Essential Purpose: You acknowledge that we have set our prices and entered into these terms in reliance upon the disclaimers and limitations of liability set forth herein, which reflect a reasonable and fair allocation of risk between us, and that these provisions form an essential basis of the bargain between us.

Termination

We hope you will use Spoken for years to come, but we recognize that circumstances change. This section explains how the relationship between you and Spoken can come to an end.

Termination by You: You may stop using Spoken and delete your account at any time by accessing the account settings within the app. Upon account deletion, your personal data will be removed from our active systems within 30 days, in accordance with our Privacy Policy. If you have an active subscription, deleting your account does not automatically cancel your subscription. You must cancel through the Google Play Store to avoid future charges.

Termination by Us: We may suspend or terminate your access to Spoken, without prior notice or liability, for any reason, including if you breach any provision of these Terms of Service. Reasons for termination may include violation of the acceptable use policy, engaging in fraudulent activity, failure to pay subscription fees, extended inactivity, or our determination that your continued use poses a risk to us or other users.

Effect of Termination: Upon termination, your right to use Spoken will immediately cease. You will lose access to your account and any content stored therein. We are not obligated to retain your data following termination, although we may do so for a limited period to allow you to export your content or to comply with legal obligations.

Survival: Certain provisions of these terms will survive termination, including ownership and intellectual property rights, warranty disclaimers, limitations of liability, and any other provisions that by their nature should survive termination.

Governing Law and Disputes

These Terms of Service and any disputes arising from your use of Spoken shall be governed by and construed in accordance with the laws of the jurisdiction in which Spoken operates, without regard to conflict of law principles. This choice of law applies regardless of where you reside or from where you access our service.

Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us through our contact page and attempt to resolve the dispute informally for at least 30 days. We believe that most concerns can be resolved through open communication, and we are committed to working with you in good faith to address any issues.

Arbitration: If informal resolution is unsuccessful, any disputes arising from these terms or your use of Spoken shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify. Arbitration proceedings shall be conducted in accordance with established arbitration rules, and the arbitrator's decision shall be final and binding.

Class Action Waiver: To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Spoken each waive any right to a jury trial.

Changes to These Terms

As Spoken evolves and as legal requirements change, we may need to update these Terms of Service from time to time. When we make changes, we will revise the “Effective Date” at the top of this document and, depending on the nature of the changes, may provide additional notice.

For significant changes that materially affect your rights or obligations, we will provide prominent notice through the app, such as an in-app notification, or by sending an email to the address associated with your account at least 30 days before the changes take effect. This advance notice gives you the opportunity to review the changes and decide whether to continue using Spoken under the updated terms.

For minor changes that do not materially affect your rights, such as clarifications or corrections, we may update the terms without prior notice. We encourage you to periodically review these Terms of Service to stay informed about any updates.

Your continued use of Spoken after any changes to these terms constitutes your acceptance of the updated terms. If you do not agree to the modified terms, your only recourse is to stop using Spoken and delete your account.

General Provisions

Entire Agreement: These Terms of Service, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and Spoken regarding your use of our service. These terms supersede any prior agreements or understandings, whether written or oral.

Severability: If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.

Waiver: Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Spoken to be effective.

Assignment: You may not assign or transfer these terms or any rights or obligations hereunder without our prior written consent. We may assign these terms without restriction. Subject to the foregoing, these terms bind and inure to the benefit of the parties and their respective successors and permitted assigns.

No Third-Party Beneficiaries: These terms do not create any third-party beneficiary rights except as expressly provided herein.
